These Terms and Conditions, together with any agreements between you ("Client") and Entify AI, constitute a legally binding agreement concerning your access to and use of our services. By accessing or using our services, you agree to be bound by these Terms and Conditions.
Entify AI reserves the right to modify these terms at any time. Your continued use of our services after such changes constitutes acceptance of the revised terms.
1. AGREEMENT TO TERMS
By accessing our services, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must cease using our services immediately.
2. CLIENT ACCESS AND CLIENT DATA
Entify AI grants you a non-exclusive, non-transferable right to use our services solely for your internal business purposes. You are responsible for maintaining the confidentiality of any credentials provided to access our services. Ownership of Client Data: You retain all rights to your data uploaded to our platform. License to Use Client Data: You grant Entify AI a non-exclusive, royalty-free license to use your data solely to provide our services. Any knowledge or insights gained by Entify AI’s AI models while processing your data shall remain the property of Entify AI.
3. ENTIFY AI’S INTELLECTUAL PROPERTY RIGHTS
You acknowledge that Entify AI owns all intellectual property rights to its platform, including but not limited to:
Source code, Databases, Functionality, Software, Website designs, Trademarks and logos
You agree not to: Copy, modify, or create derivative works of our services. Reverse engineer, decompile, or disassemble any part of our platform. Remove any proprietary notices from our services.
4. CLIENT REPRESENTATIONS
By using our services, you represent and warrant that:
All information you provide is true, accurate, and complete. You will comply with these Terms and Conditions. You will not use our services for illegal or unauthorized purposes. You have obtained all necessary consents (e.g., TCPA compliance) to allow Entify AI to contact leads on your behalf. If you provide false or misleading information, Entify AI reserves the right to suspend or terminate the parntership.
5. CONFIDENTIALITY
Both parties agree to protect each other’s confidential information. Confidential information includes, but is not limited to:
Business affairs, Trade secrets, Intellectual property, Any sensitive or proprietary data. Confidential information does not include information that:
Is publicly available, Was independently developed without reference to the disclosing party’s information, Is required to be disclosed by law.
The receiving party agrees to protect confidential information with the same degree of care it uses to protect its own confidential information.
6. CANCELLATION
If services are terminated by either party, you will still be responsible for paying for all appointments or campaigns scheduled up to the effective date of termination.
7. PROHIBITED ACTIVITIES
You agree not to:
Use our services to harass, abuse, or harm others. Upload viruses, malware, or other malicious content. Engage in automated use of the system (e.g., bots, scripts). Attempt to bypass security measures or access unauthorized areas of the platform.
8. WARRANTIES AND WARRANTY DISCLAIMER
Entify AI warrants that:
Our services will comply with applicable laws.Our services do not contain malicious code.
EXCEPT FOR THE ABOVE WARRANTIES, OUR SERVICES ARE PROVIDED "AS IS."
ENTIFY AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. SUBMISSIONS
Any feedback, suggestions, or ideas you submit toEntify AI become our sole property. We reserve the right to use such submissions for any purpose without compensation to you.

11. TERMINATION BY ENTIFY AI
We reserve the right to terminate or suspend your account at any time, for any reason, including breach of these Terms and Conditions. Upon termination, you are prohibited from creating a new account under your name or a third party’s name.
12. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to modify, suspend, or discontinue our services at any time without notice. We are not liable for any interruptions, delays, or errors caused by hardware, software, or maintenance issues.
13. GOVERNING LAW
These Terms and Conditions are governed by the laws of the State of New York, without regard to its conflict of law principles.
14. DISPUTE RESOLUTION
Informal Negotiations: Parties agree to attempt informal negotiations for at least 30 days before initiating arbitration. Binding Arbitration: Any disputes arising from these Terms and Conditions shall be settled by arbitration in New York County, New York, in accordance with the rules of the American Arbitration Association. Exceptions: Disputes related to intellectual property rights or injunctive relief may be brought to court.
15. LIMITATIONS OF LIABILITY
IN NO EVENT SHALL ENTIFY AI BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES. OUR LIABILITY IS LIMITED TO THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE CAUSE OF ACTION ARISING.
16. INDEMNIFICATION
You agree to indemnify and hold harmless Entify AI from any claims, damages, or liabilities arising from:
Your use of our services. Your breach of these Terms and Conditions. Your violation of third-party rights.
17. DATA SECURITY
We employ reasonable safeguards to protect your data. However, we cannot 100% guarantee absolute security of any data on the internet. You are responsible for backing up any data you transmit through our services.
18. ELECTRONIC COMMUNICATIONS
By using our services, you consent to receive electronic communications, including agreements, notices, and disclosures. You agree that electronic communications satisfy any legal requirement for written communication.
19. FORCE MAJEURE
Neither party shall be liable for delays or failures caused by events beyond their control, such as natural disasters, acts of God, or government actions.
20. MISCELLANEOUS
These Terms and Conditions constitute the entire agreement between you and Entify AI. If any provision is found to be invalid, the remaining provisions shall remain enforceable. We reserve the right to assign our rights and obligations under these terms.
